Terms and Conditions

These terms govern access to and use of the UCP Travel platform, APIs, MCP endpoints, and operator tools provided by Zologic.

1. Introduction

These Terms and Conditions govern your access to and use of the UCP Travel platform, operated by Zologic in the Netherlands. By creating an account or using the platform, you agree to be bound by these terms. If you use the platform on behalf of a company or organisation, you confirm that you have authority to bind that entity.

2. Definitions

Platform means the UCP Travel software, APIs, MCP endpoints, dashboards, and associated subdomains.

Operator means a business or individual that registers a tenant on the platform to manage travellers and bookings.

Traveller means an individual whose travel is managed through the platform.

Travel Services means flights, accommodation, and other travel products made available through third-party providers.

Booking means a confirmed order for Travel Services created through the platform.

Mandate means a cryptographically signed traveller authorisation defining the constraints under which autonomous bookings may be made.

Provider means the third-party inventory, payment, or fulfilment providers through which Travel Services are sourced and fulfilled.

3. The Platform

UCP Travel is a travel transaction layer that enables AI agents and software systems to search, authorise, and book Travel Services on behalf of travellers, subject to mandates and operator configuration.

The contract for Travel Services is between the traveller and the relevant airline, hotel, or other supplier. Zologic is not a party to that contract and is not responsible for the provision, quality, safety, or availability of Travel Services.

Zologic acts as a technology intermediary and does not operate as a carrier, tour operator, or travel supplier.

4. Account Registration and Onboarding

Operators must complete onboarding and provide accurate, current information.

You are responsible for all activity under your account, including actions by AI agents acting on behalf of travellers with valid mandates.

You must notify Zologic immediately of any unauthorised access or suspected breach.

5. Traveller Mandates and Autonomous Bookings

Autonomous bookings require a valid, unexpired mandate signed by or on behalf of the traveller. A booking made within the constraints of a valid mandate is considered authorised.

Operators are responsible for ensuring mandates accurately reflect authorised booking constraints, including budget limits, cabin class ceilings, and validity periods.

Bookings above any configured confirmation threshold require explicit human approval before completion. The platform enforces this gate where configured.

Zologic maintains an audit record of booking attempts, mandate context, offer details, and outcomes.

6. Supplier Terms and Booking Conditions

Each Travel Service is subject to the terms and conditions of the relevant airline, hotel, or supplier. These govern refunds, changes, cancellations, and no-shows.

Operators must ensure travellers are informed of and accept supplier terms before a booking is completed. Where available, the platform surfaces those terms during the flow.

Zologic is not responsible for supplier insolvency, schedule changes, cancellations, or failure by a supplier to deliver Travel Services.

7. Payments

Payments are processed through third-party PCI-compliant infrastructure. Raw card data is not stored on Zologic servers.

Operators are responsible for maintaining sufficient balance or valid payment capability where required.

Zologic may apply a service fee or markup to bookings as configured in the operator account. All fees are disclosed in the pricing breakdown before completion.

Zologic is not responsible for payment failures caused by insufficient balance, expired card records, or failed authentication challenges.

8. Cancellations and Changes

Cancellation and change rights are determined by supplier fare conditions, not by Zologic.

Where a fare is refundable, refund processing remains subject to supplier timelines. Zologic does not hold or control refund funds.

Automated cancellation and change flows may be supported where suppliers permit them. Operators and travellers remain responsible for reviewing penalties before confirming changes.

Airline-initiated schedule changes should always be reviewed by a human. The platform does not autonomously accept supplier-initiated changes.

9. Prohibited Use

  • Create speculative, sham, or test bookings in a production environment.
  • Abuse search-to-booking ratios in a way that harms platform performance.
  • Circumvent mandate constraints or booking gates.
  • Process bookings for sanctioned individuals or entities.
  • Engage in fraud, money laundering, or other illegal activity.

10. Intellectual Property

The platform, software, schemas, documentation, and related travel capability extensions are the intellectual property of Zologic unless otherwise stated.

No licence to copy, distribute, or create derivative works is granted except by written agreement.

11. Limitation of Liability

To the maximum extent permitted by law, Zologic's total liability for claims arising from use of the platform shall not exceed the fees paid by you in the three months preceding the claim.

Zologic shall not be liable for indirect or consequential loss, supplier failure, losses caused by AI behaviour outside platform constraints, or force majeure.

Nothing in these terms limits liability for fraud or for death or personal injury caused by negligence where such limitation is prohibited by law.

12. Governing Law

These terms are governed by the laws of the Netherlands. Disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

13. Changes to These Terms

Zologic may update these terms from time to time. Material changes may be communicated by email to registered operators. Continued use after the effective date constitutes acceptance of the updated terms.
